AUTHORIZED REPRESENTATIVE AGREEMENT

 

This agreement (hereinafter “Agreement”) has been made between undersigned as the parties to this Agreement; hereinafter referred to individually as a “Party” or jointly as the “Parties”.

WHEREAS, it is the desire of the Parties to enter into Agreement as authorized representative agent (hereinafter “Authorized Agent” or simply “AR”) in connection with dealing customers regarding job/work permit requirement and employment consultancy services for Finland (hereinafter “Authorized Purpose”).

WHEREAS, it is the intention of OTTVI Oy (hereinafter “Company”), existing under law of Finland at Saniaistie, 00730, Helsinki, that a Party (hereinafter “Authorized Agent”) allowing to represent as Agent hereto agree as follows.

APPOINTMENT:

Company hereby appoints Authorized Agent upon the terms and conditions herein contained to be Company’s Authorized Agent with regards to Consultancy Service Provider to customers (hereinafter “Client” or “Clients”) until December 31st, 2023, and starting from the effective date of signing this document by both Parties, in Pakistan Economic Area of Mandi-Bahauddin, Jhelum, Gujarat and Rawalpindi those products/services set forth on the Company’s website (hereinafter Consultancy Services or Simply ‘‘Products’’). Products may be added or re-added or removed to the Services List only by written amendment delivered by Company to Authorized Agent. It is understood and agreed that Company (and its affiliates) may discontinue any of the Products without obligation to Authorized Agent except a 3-month written notification.

AUTHORIZED AGENT ACTIVITIES AND RESPONSIBILITIES:

  1. Verify that the EU declaration of services conformity have been drawn up and, where applicable, that an appropriate conformity assessment procedure has been carried out;
  2. Keep available a copy of the Products, a copy of the relevant certificates, including any amendments and supplements, issued by Company at the disposal of competent authorities and Clients;
  3. Comply with the registration obligations laid down in the Directive of local law and verify that the Company has complied with its own registration obligations laid down Finnish Law of trade registration;
  4. Response to a request from a Client, provided that Client with all the information and documentation necessary to demonstrate the conformity of Company’s Consultancy Services/Products;
  5. Forward to Company any query by Client within Authorized Area and verify that the Client receives enough   information   about Company’s  Products;
  6. Cooperate with  the  Client regarding queries of  Authorized Purpose if that is not  possible,  forward the query directly to Company;
  7. The     Authorized     Agent     shall    not  force  the     Company   for   the  processing    of   specific      Client  case;
  8. The Authorized Agent shall not sell Products without prior authorization from Company for Authorized Purpose;
  9. Immediately inform Company about complaints and feedback from Clients related to the Products of Company;

1010COMPANY’s ACTIVITIES AND RESPONSIBILITIES:

Company shall perform the following task:

  1. Company shall oblige to honor all information request to Authorized Agent necessary to comply with queries of Client;
  2. Company shall transmit within 48 hours to the Authorized Agent any information requested by Client for Authorized Purpose only;
  3. company Shall convey any updates/information in connection with Authorized Purpose about Client processed case within 48 hours.
  4. Company inform written notice any change/information/discontinuation of Products within 5 days to Authorized Agent;
  5. Company shall hold appropriate training courses concerning the procedure of Client selection for Authorized Purpose;
  6. Company shall hold all rights reserved to decline/discontinue the Consultancy Service provision to specific Client with reason or without specified reason and inform the Authorized Agent written notice within 48 hours;
  7. The company shall provide Consultancy Services/Assistance to Clients regarding VISA/Work Permit accusation for job market in Finland only;
  8. The company shall provide Consultancy Services/Assistance to Client via Authorized Agent within Authorized Area;

PAYMENT PROCEDURE

 Parties agreed on payment terms as follow:

  1. The Authorized Agent shall not receive charges/fee/commission or another related or unrelated benefits from Client directly or indirectly;
  2. The Authorized Agent Shall direct Client to pay price/value of purchased Product (Consultancy Service fee) in Company’s bank accounts;
  3. The Company shell pay 9% commission from each Client referred by Authorized Agent within Specified Area in monthly installments preferably by bank transfers to Authorized Agent from approved cases (VISA/Work Permit granted by Embassy) after getting paid from Client;
  4. The Company shall pay agreed commission (9%) to Authorized Agent in local currency of Authorized Area, all exchange rates shell verify and pay at the time of bank transfer by Authorized Agent;
  5. In case, Client refused to pay (after arrival in Finland or after VISA/Work Permit granted by Embassy or at any stage during the process) then Company is not bound to pay 9% commission of specific refusal case;

EFFECTIVE DATE & TERMINATION

  1. This Agreement is governed by the laws of Finland, without regard to its conflict of laws principles. This Agreement shall enter in force on its effective date after signing by both parties and shall remain in force until 31st December 2023.
  2. This Agreement may be terminated by either party at any date after the first twelve months period by written notification to the other party one (1) month prior the indicated termination date and shall enforce from effective date after the signing of both parties.
  3. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof which cannot be solved amicably shall be finally settled by arbitration in accordance with the Rules of the Arbitration Institute of the Finland Chamber of Commerce by one (1) arbitrator appointed in accordance with the said rules. The place of arbitration shall be Helsinki, Finland. The procedure shall be conducted in the English language. The confidential award shall be final and binding on the Parties hereto and enforceable in any court of competent jurisdiction. Without prejudice to any other rights or remedies, each Party acknowledges that damages alone would not be an adequate remedy for any breach of this Agreement by the Company, and that the Authorized Agent shall be entitled to seek interim injunctive relief, or such other relief as may be available subject to applicable law in any court of law.

This Agreement has been executed in two (2) identical originals, one for each Party, by the duly authorized representatives of each Party.
